General terms and conditions of Linguaclub

Effective date: 1-09-2026

PART 1 – GENERAL PROVISIONS

1. Definitions

For the purposes of these Terms and Conditions, the following definitions apply:

Account means the personal account created by a Student to access the Platform and the Services.

Agreement means the legally binding agreement between Linguaclub and the Student, consisting of these Terms and Conditions together with the Privacy Policy, Cookie Policy, Refund Policy (where applicable), and any other documents expressly referred to herein.

Corporate Training means language training or other educational services provided by Linguaclub to companies or organisations under a separate written agreement.

Course Materials means all educational materials made available by Linguaclub, including, without limitation, texts, presentations, videos, audio recordings, lesson recordings, downloadable materials, exercises, assignments, assessments, teaching methods, graphics, illustrations and any other educational resources provided through the Services.

Digital Course means a structured educational programme provided through the Platform, which may include digital learning materials, assignments, exercises, assessments, progress tracking, downloadable materials, lesson recordings (where available) and live lessons.

Group Lesson means a scheduled lesson attended by two or more Students.

Lesson Credit means the right to attend one scheduled lesson under a purchased course or lesson package.

Order means a request submitted by a Student through the Website or another payment method approved by Linguaclub to purchase one or more Services.

Platform means the Linguaclub website, student portal, learning environment and any electronic systems used by Linguaclub to provide the Services.

Private Lesson means a one-to-one lesson provided exclusively to one registered Student by a Teacher.

Services means all educational services provided by Linguaclub, including Digital Courses, Private Lessons, Group Lessons, Corporate Training and any other educational services offered through the Website.

Student means any individual who purchases, accesses or uses the Services provided by Linguaclub.

Subscription means a recurring monthly agreement providing access to Digital Courses and/or other Services offered by Linguaclub.

Teacher means a language teacher or other educational professional engaged by Linguaclub to provide the Services.

Website means the official Linguaclub website and all associated webpages.

2. About Linguaclub

Linguaclub provides professional language education through Digital Courses, live lessons and other educational services.
Unless otherwise agreed in writing, the Services are provided online using communication platforms selected by Linguaclub. Where specifically agreed, Linguaclub may also provide in-person lessons, workshops or Corporate Training.
Linguaclub continuously develops and improves its educational programmes. Accordingly, Course Materials, lesson content, teaching methods, educational technologies and Platform functionality may be updated or improved from time to time in order to maintain and enhance the quality of the Services.

3. Acceptance of these Terms

By creating an Account, placing an Order, purchasing a Subscription, booking lessons or otherwise using the Services, the Student confirms that they have read, understood and agree to be bound by these Terms and Conditions, including all policies expressly referred to herein.
If the Student does not agree with these Terms and Conditions, the Services must not be used.
The Student confirms that they are at least 18 years of age or are otherwise legally authorised to enter into this Agreement under applicable law.
Where Services are purchased for a minor, this Agreement shall be entered into by the minor’s parent or legal guardian, who accepts full responsibility for compliance with these Terms and Conditions.

4. Scope of Services

Linguaclub offers educational services, including:

  • Digital Courses;
  • Private Lessons;
  • Group Lessons;
  • Corporate Training;
  • educational support materials;
  • online assessments;
  • live lessons;
  • and other educational services published on the Website.


The exact content of each Service is described on the relevant course page at the time of purchase.
Linguaclub does not guarantee any particular examination result, language proficiency level or professional outcome.
Learning outcomes depend on many factors, including the Student’s attendance, participation, preparation, motivation and individual effort.

5. Digital Courses

Digital Courses consist of educational materials created or licensed by Linguaclub and made available through the Platform.
Depending on the purchased course, access may include:

  • digital learning materials;
  • videos;
  • exercises;
  • assignments;
  • assessments;
  • progress tracking;
  • downloadable materials where expressly permitted;
  • live lessons with a Teacher;
  • lesson recordings where available.

Access to Digital Courses is granted only after Linguaclub has successfully received full payment and remains subject to these Terms and Conditions and any applicable Subscription.
Unless expressly stated otherwise, purchasing one Digital Course does not provide access to any other Digital Course offered by Linguaclub.

6. Private Lessons

Private Lessons are one-to-one educational sessions provided exclusively to the registered Student by a Teacher.
Private Lessons are available only on a prepaid basis.
Lesson schedules are normally agreed between the Student and Linguaclub between the 20th and 25th day of the month preceding the scheduled lessons.
Payment for all scheduled Private Lessons must be received before the first day of the relevant month.
Linguaclub is under no obligation to reserve lesson times until payment has been received in full.
Private Lessons include temporary access, at no additional charge, to the Course Materials required for the specific course studied with the Teacher. Such materials may include, where applicable, pre-recorded video lessons, grammar explanations, exercises with integrated answer keys and other self-study resources designed to support independent learning.
Students are encouraged to use these supporting learning materials before and after their lessons to reinforce their language skills and make the most of their learning experience. If a Student is unable to attend a scheduled Private Lesson for any reason, these materials remain available throughout the period of active participation in the Private Lesson programme, allowing the Student to continue studying independently.
Such access remains available only while the Student has an active Private Lesson programme.
If the Student no longer books or purchases Private Lessons, access to the corresponding Course Materials will automatically terminate.
Temporary access granted in connection with Private Lessons applies only to the specific course studied with the Teacher.
The supporting learning materials form an integral part of the educational services provided to Students participating in the Private Lesson programme. Their availability does not replace scheduled lessons and does not affect the cancellation, rescheduling or no-show rules set out in these Terms and Conditions.
Students wishing to access additional Digital Courses may purchase a separate Subscription or make a separate purchase through the Website.

7. Group Lessons

Group Lessons are conducted according to the published course schedule.
Individual Students may not request the rescheduling of Group Lessons.
If a Student is unable to attend a scheduled Group Lesson, the lesson shall be deemed to have been delivered.
Where a recording is available, Linguaclub may provide the Student with temporary access to the recording solely for the Student’s personal educational purposes.
The availability of lesson recordings is not guaranteed.
All lesson recordings remain the exclusive intellectual property of Linguaclub and may not be copied, downloaded (unless expressly permitted), distributed, published, shared with third parties or otherwise used outside the Platform.

8. Corporate Training

Corporate Training may be provided under separate written agreements with companies, organisations or other business clients.
Where a separate written agreement exists, its terms shall prevail over these Terms and Conditions to the extent of any inconsistency.

9. Learning Environment and Participation

Linguaclub is committed to providing a professional, respectful and distraction-free learning environment for all Students and Teachers.
Private Lessons are intended exclusively for the registered Student.
Unless expressly agreed in writing by Linguaclub, no other person may attend, observe or participate in a Private Lesson.
Students are expected to participate in lessons from a quiet environment suitable for learning.
Students are responsible for ensuring that family members, guests, children or pets do not interrupt, distract or otherwise interfere with the lesson or the learning experience.
Students may not permit another person to participate in a lesson on their behalf or share a Private Lesson with another person unless Linguaclub has given prior written approval.
During Group Lessons, Students are expected to behave respectfully towards Teachers and other Students.
Offensive behaviour, discrimination, harassment, repeated disruption of lessons or any conduct that prevents effective teaching may result in removal from the lesson or, in serious or repeated cases, suspension or termination of access to the Services, without refund where permitted by applicable law.
If the learning environment created by the Student prevents the Teacher from conducting the lesson effectively, the Teacher may end the lesson. In such circumstances, the lesson shall be deemed to have been delivered.

PART 2 – PAYMENTS, SUBSCRIPTIONS AND DIGITAL CONTENT

10. Prices and Payments

All Services provided by Linguaclub are offered on a prepaid basis.
Current prices for all Services are published on the Website and may be updated from time to time.
The price applicable to a Student is the price displayed on the Website at the time the Order is placed.
Unless otherwise stated, all prices are inclusive of VAT where applicable.
Linguaclub reserves the right to change its prices at any time. Any price changes will not affect Services that have already been purchased and paid for.
Access to the Services, including Digital Courses, Course Materials and scheduled lessons, is granted only after Linguaclub has successfully received full payment.
Students are responsible for ensuring that their payment details remain accurate and up to date.
Students are also responsible for any bank charges, currency conversion fees or payment provider fees charged by their financial institution, unless otherwise stated.
Linguaclub may use third-party payment service providers. Such providers are responsible for processing payment transactions in accordance with their own terms and privacy policies.
Where recurring payments cannot be processed, Linguaclub may suspend access to the Services until payment has been successfully completed.

11. Order Confirmation

A legally binding Agreement between the Student and Linguaclub is formed when the Student completes the Order and Linguaclub confirms the purchase by email or grants access to the purchased Service.
Linguaclub reserves the right to refuse or cancel an Order where:

  • payment has not been successfully processed;
  • fraudulent or unlawful activity is suspected;
  • incorrect pricing or technical errors have occurred;
  • or the requested Service is no longer available.

 

Where an Order is cancelled by Linguaclub before the Service has been provided, any payment received will be refunded in accordance with applicable law.

12. Monthly Subscription

Certain Services are provided on the basis of a recurring monthly Subscription.
Unless cancelled by the Student, the Subscription automatically renews for successive one-month periods.
The Student may cancel the Subscription at any time through their Account or by written notice sent to info@linguaclub.eu.
Cancellation takes effect at the end of the current paid Subscription period and prevents the next automatic renewal.
The Student continues to have access to the purchased Services until the end of the paid Subscription period.
After the paid Subscription period expires, access to the Platform, Digital Courses, Course Materials and all Subscription Services automatically terminates unless the Subscription is renewed.
Cancellation of a Subscription does not entitle the Student to continued access after the paid Subscription period has expired.
No partial refunds are provided for unused Subscription periods unless required by applicable law.
The Student remains responsible for cancelling the Subscription before the next renewal date if they do not wish to continue using the Services.

13. Scheduling of Private Lessons

Private Lessons are normally scheduled between the 20th and 25th day of the month preceding the scheduled lessons.
The lesson schedule is agreed subject to the availability of both the Student and the Teacher.
Payment for all scheduled Private Lessons must be received before the first day of the relevant month.
Linguaclub is under no obligation to reserve lesson times until payment has been received in full.
If payment is not received before the agreed due date, Linguaclub may release the reserved lesson times and make them available to other Students.

14. Cancellation, Rescheduling and No-show Policy

Private Lessons may be cancelled or rescheduled without charge, provided that Linguaclub receives notice at least 24 hours before the scheduled lesson.
Where cancellation or rescheduling is requested less than 24 hours before the scheduled lesson, the lesson shall be deemed to have been delivered and the corresponding lesson fee or Lesson Credit will be charged.
When a Private Lesson is booked, the Teacher reserves that lesson time exclusively for the Student. As a result, the reserved time cannot normally be offered to another Student at short notice. For this reason, cancellations made less than 24 hours before the scheduled lesson, late arrivals exceeding the waiting time specified in these Terms and Conditions, or failure to attend the lesson are treated as lessons that have been delivered.
This rule applies irrespective of the reason for the Student’s cancellation, late arrival or absence, including illness, travel disruption, traffic conditions, work commitments, family circumstances or any other circumstances affecting the Student.
Linguaclub may, at its sole discretion, make an exception in genuinely exceptional circumstances. Any such exception shall not create a precedent or entitlement in future cases.
Students participating in the Private Lesson programme continue to have access, during the applicable access period, to the supporting learning materials included with their programme. These materials are intended to support continuous independent learning and form part of the educational services provided by Linguaclub. They do not replace scheduled lessons and do not affect the cancellation, rescheduling or no-show rules set out in these Terms and Conditions.

15. Teacher Waiting Time

The Teacher will wait for the Student for up to 15 minutes from the scheduled start time of a Private Lesson.
If the Student has not joined the lesson within the 15-minute waiting period and has not informed Linguaclub in advance, the lesson will be treated as a no-show.
The corresponding lesson fee or Lesson Credit will be charged.
Where the Student joins the lesson within the waiting period, the lesson will end at its originally scheduled finishing time.
The Teacher is not required to extend the lesson beyond the agreed schedule.
The Teacher is not required to remain available after the 15-minute waiting period has expired.

16. Lessons Cancelled by Linguaclub

If a lesson cannot be provided due to circumstances attributable to Linguaclub, including Teacher illness or technical problems within Linguaclub’s reasonable control, the lesson will be rescheduled at no additional cost or the corresponding Lesson Credit will be restored.
Where reasonably possible, Linguaclub will notify the Student as soon as practicable.
Linguaclub cannot guarantee that a particular Teacher will remain available throughout the entire course and reserves the right to assign another suitably qualified Teacher where necessary.

17. Digital Content and Right of Withdrawal

Students are advised to carefully review the course description before placing an Order.
If any aspect of a course is unclear, Students are encouraged to contact Linguaclub at info@linguaclub.eu before purchasing. Where available, Linguaclub offers a free online consultation of approximately 15 to 30 minutes to help prospective Students determine whether a course is suitable for their learning objectives.
By placing an Order, completing payment and requesting immediate access to a Digital Course, the Student expressly requests the immediate supply of digital content.
The Student acknowledges that this request is made voluntarily after having had the opportunity to review the course description, ask questions and obtain additional information before completing the purchase.
The Student confirms that they understand the consequences of requesting immediate access to digital content before the expiry of the statutory withdrawal period.
The Student further acknowledges that, once access to the Digital Course has been provided, the statutory right of withdrawal for digital content supplied electronically will no longer apply, to the extent permitted by applicable Dutch and European Union consumer protection legislation.
Nothing in these Terms and Conditions limits or excludes any mandatory consumer rights that cannot legally be excluded under applicable law.

18. Refund Policy

Students are encouraged to review all available information about a Service before making a purchase.
Linguaclub provides detailed course descriptions and offers prospective Students the opportunity to request additional information before purchasing.
Refund requests should be submitted by email to info@linguaclub.eu.
Refund requests will be considered in accordance with applicable Dutch and European consumer protection legislation.
Where the Student has expressly requested the immediate supply of Digital Content and has acknowledged the consequences for the statutory right of withdrawal in accordance with applicable law, refunds for Digital Content will not normally be available after access has been granted.
Refunds relating to lesson packages, Private Lessons or other Services will be handled in accordance with the Refund Policy published on the Website, where applicable.
In the event of any inconsistency between these Terms and Conditions and the Refund Policy, the Refund Policy shall prevail solely in relation to refund procedures.

PART 3 – INTELLECTUAL PROPERTY AND USE OF THE SERVICES

19. Intellectual Property Rights

All present and future intellectual property rights in the Platform, Website, Digital Courses, Course Materials and Services are owned by or licensed to Linguaclub.
These rights include, without limitation:

  • copyrights;
  • database rights;
  • trademarks;
  • teaching methods;
  • lesson plans;
  • course structures;
  • presentations;
  • videos;
  • audio recordings;
  • lesson recordings;
  • exercises;
  • assignments;
  • assessments;
  • graphics;
  • illustrations;
  • texts;
  • downloadable materials;
  • software;
  • Platform design;
  • educational content;
  • know-how;
  • and all other proprietary materials made available through the Services.

Nothing in these Terms and Conditions transfers any intellectual property rights to the Student.
Students receive only a limited licence to access and use the Services in accordance with these Terms and Conditions.

20. Limited Licence

Upon successful payment, Linguaclub grants the Student a limited, personal, non-exclusive and non-transferable licence to access the purchased Services solely for personal educational purposes.
The licence remains valid only during the applicable Subscription period or while the Student has active access to the purchased Services.
The licence automatically expires when access to the relevant Service ends or is terminated in accordance with these Terms and Conditions.
The Student does not acquire any ownership or intellectual property rights in any Course Materials or Services.

21. Access to Course Materials

All Course Materials provided by Linguaclub are commercial educational products and are available exclusively through paid Services unless expressly stated otherwise.
Linguaclub may from time to time provide free educational resources through its official Website or official social media channels. Such materials do not provide access to paid Digital Courses or other paid Services.
Students attending Private Lessons receive temporary access, at no additional charge, to the Course Materials required for the specific course studied with the Teacher.
Such access remains available only while the Student has an active Private Lesson programme.
If the Student no longer books or purchases Private Lessons, access to the corresponding Course Materials automatically terminates.
Temporary access granted in connection with Private Lessons applies only to the specific course studied with the Teacher.
Access to additional Digital Courses requires a separate Subscription or separate purchase through the Website.

22. Downloadable Materials

Only Course Materials that are expressly identified by Linguaclub as downloadable may be downloaded.
Downloaded materials may be used exclusively for the Student’s personal educational purposes.
Unless expressly permitted by Linguaclub, no other Course Materials may be downloaded, copied, stored, reproduced, distributed or shared.

23. Lesson Recordings

Linguaclub may record Group Lessons for educational purposes.
Where available, recordings are provided only to Students enrolled in the relevant course who were unable to attend the lesson or who require the recording for personal revision.
The availability of lesson recordings is not guaranteed.
Lesson recordings may contain the names, voices or images of other Students.
Students must respect the privacy of all participants and may not use recordings in any manner that infringes the rights or privacy of others.
Lesson recordings remain the exclusive intellectual property of Linguaclub.
Students may not:

  • copy;
  • download, unless expressly permitted;
  • publish;
  • distribute;
  • upload;
  • edit;
  • retransmit;
  • sell;
  • or otherwise make recordings available to any third party.

Recordings are provided solely for temporary personal educational use and must not be used for any other purpose.

24. Artificial Intelligence

Without the prior written permission of Linguaclub, Students may not use any Course Materials, lesson recordings or other educational resources for the purpose of training, developing, improving or operating artificial intelligence systems, machine learning models or similar technologies.
Students may not upload Linguaclub materials to public or commercial AI platforms, use them to generate derivative works, reproduce them or redistribute them in any form.
Students may not use Linguaclub Course Materials to create competing educational products or services.
Nothing in this section prevents Students from using generally available AI tools for their own personal study, provided that Linguaclub’s copyrighted materials are not uploaded, reproduced, distributed or otherwise used in breach of these Terms and Conditions..

25. Prohibited Use

Students may not:

  • copy or reproduce any Course Materials;
  • reproduce any part of the Platform;
  • photograph, record or otherwise capture lessons without the prior written permission of Linguaclub;
  • make screen recordings;
  • record audio or video during lessons;
  • share their Account with another person;
  • permit another person to access purchased Services;
  • upload Course Materials to file-sharing services or messaging platforms;
  • publish Course Materials on websites or social media;
  • distribute Course Materials through any online platform;
  • teach, train or coach other persons using Linguaclub Course Materials;
  • create, publish or sell courses or other educational products or services that substantially reproduce or are derived from Linguaclub Course Materials;
  • use Course Materials for commercial purposes;
  • remove copyright notices or proprietary markings;
  • attempt to circumvent technical protection measures;
  • reverse engineer or attempt to copy the Platform or its structure.

Students remain responsible for all activities carried out through their Account.
Any unauthorised use constitutes a material breach of these Terms and Conditions and may result in the immediate suspension or termination of the Student’s Account and access to the Services.
Linguaclub reserves all rights available under applicable intellectual property law, including the right to seek injunctive relief and compensation for damages resulting from any infringement of its intellectual property rights.
Without prejudice to any other rights or remedies available to Linguaclub under applicable law, any unauthorised copying, distribution, publication or commercial use of Linguaclub Course Materials may result in a contractual penalty of EUR 5,000 for each infringement, without prejudice to Linguaclub’s right to seek full compensation where the actual damage exceeds that amount, to the extent permitted by applicable law.
The Student’s obligations relating to intellectual property rights, confidentiality and the permitted use of the Course Materials shall survive the termination or expiration of this Agreement.

26. Suspension and Termination

Linguaclub may suspend or terminate the Student’s Account and access to the Services immediately where the Student:

  • seriously breaches these Terms and Conditions;
  • repeatedly violates these Terms and Conditions;
  • infringes Linguaclub’s intellectual property rights;
  • unlawfully copies, distributes or commercially exploits Course Materials;
  • shares an Account with another person;
  • impersonates another Student;
  • distributes lesson recordings without permission;
  • attempts to gain unauthorised access to the Platform or its systems;
  • uses the Services for unlawful purposes;
  • behaves in an abusive, threatening, discriminatory, harassing or fraudulent manner towards a Teacher, another Student or Linguaclub.

Where reasonably possible, Linguaclub will inform the Student of the reasons for the suspension or termination.
Termination or suspension under this section does not affect any payment obligations that arose before the date of suspension or termination.
Unless required by applicable law, suspension or termination resulting from the Student’s breach of these Terms and Conditions does not entitle the Student to any refund of fees already paid.
Nothing in this section limits any other rights or remedies available to Linguaclub under applicable law.

PART 4 – GENERAL LEGAL PROVISIONS

27. Privacy and Personal Data

Linguaclub processes personal data in accordance with its Privacy Policy, the General Data Protection Regulation (GDPR), and all other applicable Dutch and European data protection laws.
By using the Services, the Student acknowledges that personal data may be processed for the purposes of:

  • providing the Services;
  • managing the Student’s Account;
  • processing payments;
  • communicating with the Student;
  • improving the Services;
  • complying with legal and regulatory obligations.

The Privacy Policy forms an integral part of these Terms and Conditions.

28. Platform Availability

Linguaclub makes reasonable efforts to keep the Platform available and functioning properly.
Temporary interruptions may occur due to:

  • scheduled maintenance;
  • software updates;
  • security improvements;
  • technical failures;
  • internet service disruptions;
  • failures of third-party communication platforms;
  • failures of cloud service providers;
  • or circumstances beyond Linguaclub’s reasonable control.

Such temporary interruptions shall not constitute a breach of these Terms and Conditions.
Linguaclub will use reasonable efforts to restore the normal operation of the Services as soon as reasonably practicable.

29. Limitation of Liability

Linguaclub provides its Services with reasonable care, skill and professional diligence.
Nothing in these Terms and Conditions guarantees uninterrupted access to the Platform or error-free operation of the Services.
To the maximum extent permitted by applicable law, Linguaclub shall not be liable for indirect or consequential losses, including loss of profit, loss of business opportunity or business interruption.
Nothing in these Terms and Conditions excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including liability arising from fraud, wilful misconduct or gross negligence.
Students remain responsible for:

  • maintaining a reliable internet connection;
  • ensuring suitable equipment for participating in lessons;
  • protecting their Account credentials;
  • keeping their contact information accurate and up to date;
  • safeguarding their own personal notes and files stored outside the Platform.

30. Force Majeure

Linguaclub shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control.
Such circumstances may include, without limitation:

  • natural disasters;
  • fire;
  • flood;
  • war;
  • terrorism;
  • government action;
  • epidemics or pandemics;
  • widespread power failures;
  • major internet outages;
  • cyberattacks;
  • failures of third-party communication platforms;
  • failures of internet service providers;
  • failures of cloud service providers;
  • or any other event that could not reasonably have been foreseen or prevented.

Where reasonably possible, Linguaclub will reschedule the affected Services.
Nothing in this section limits any mandatory rights available to Students under applicable law.

31. Changes to the Services

Linguaclub continuously develops and improves its educational programmes.
Accordingly, Linguaclub may from time to time modify:

  • Course Materials;
  • lesson content;
  • teaching methods;
  • Platform functionality;
  • technical features;
  • communication platforms;
  • educational technologies;
  • or other aspects of the Services.

Such changes are intended to improve or maintain the quality of the Services and shall not constitute a breach of these Terms and Conditions.
Where reasonably necessary, Linguaclub may replace one communication platform with another suitable platform without reducing the quality of the Services.

32. Electronic Communications

By creating an Account or using the Services, the Student agrees to receive communications from Linguaclub electronically.
Such communications may include:

  • lesson confirmations;
  • timetable updates;
  • payment notifications;
  • Subscription information;
  • Platform updates;
  • contractual notices;
  • and other information relating to the Services.

Electronic communications satisfy any legal requirement that such communications be made in writing, where permitted by applicable law.

33. Changes to these Terms and Conditions

Linguaclub may update these Terms and Conditions from time to time.
Where changes materially affect the rights or obligations of Students, reasonable prior notice will be provided.
The updated Terms and Conditions will be published on the Website.
Continued use of the Services after the effective date of the revised Terms and Conditions constitutes acceptance of the updated Terms and Conditions.
If a Student does not agree with the revised Terms and Conditions, the Student may discontinue using the Services before the updated Terms and Conditions take effect.

34. Consumer Rights

Nothing in these Terms and Conditions limits, excludes or replaces any mandatory rights granted to consumers under applicable Dutch or European Union law.
Where any provision of these Terms and Conditions conflicts with mandatory law, the mandatory law shall prevail, and the remaining provisions shall continue in full force and effect.

35. Severability

If any provision of these Terms and Conditions is held by a court or competent authority to be unlawful, invalid or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable.
If such modification is not possible, the relevant provision shall be severed without affecting the validity and enforceability of the remaining provisions.

36. Entire Agreement

These Terms and Conditions, together with the Privacy Policy, Cookie Policy, Refund Policy (where applicable) and any documents expressly referred to herein, constitute the entire Agreement between Linguaclub and the Student concerning the Services.
Any previous discussions, communications, representations or understandings relating to the Services are superseded by this Agreement unless expressly confirmed by Linguaclub in writing.
No oral statement or representation made by a Teacher or any other representative of Linguaclub shall amend or override these Terms and Conditions unless confirmed in writing by Linguaclub.

37. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Netherlands.
Any dispute arising out of or relating to these Terms and Conditions or the Services shall be submitted to the competent courts of the Netherlands, without prejudice to any mandatory consumer rights under applicable Dutch or European Union law.
